Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and [LEGAL ENTITY] ("Sentriplex", "we", "us") governing your access to and use of the Sentriplex applications, websites, and services (the "Service"). 4. Emergency & safety features — important notice

Sentriplex safety features (SOS, duress, man-down, lone-worker, location, check-ins) are supplementary tools and are not a substitute for emergency services (such as 911/112/police/fire/medical). They depend on device sensors, battery, network connectivity, permissions, and correct configuration, and may be delayed or unavailable. Always contact official emergency services in a real emergency. To the fullest extent permitted by law, we are not liable for any failure or delay of these features.

5. Subscriptions & payment

Paid plans are billed in advance on a recurring basis through our payment provider. Fees are non-refundable except as required by law or expressly stated. We may change pricing with reasonable notice. Failure to pay may result in suspension or downgrade.

6. Your content

You and your Organization retain ownership of the content you transmit ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide and improve the Service. You are responsible for the legality of Customer Content and for obtaining necessary consents.

7. Intellectual property

The Service, including software, design, and trademarks, is owned by us and our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. No other rights are granted.

The Service integrates third-party providers (e.g., media/recording, push notifications, SSO, payments, email, and optional AI). Your use of those features may be subject to the third parties' terms. We are not responsible for third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

You agree to indemnify and hold us harmless from claims arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time and delete your account (see Account & Data Deletion). We may suspend or terminate access for violations of these Terms or to protect the Service. Sections that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive venue, except where prohibited by law.
